- These Terms of Use ("Terms") and the Privacy Policy govern your access to and use of MIC Solutions, the website, and the services provided through our site at https://www.mic-ksa.com.
- Subscribing to MIC services requires agreement to these Terms of Use. Your use of the services constitutes your acceptance to comply with these Terms and the Privacy Policy. Please read them carefully before using the services.
- You are required to read all the provisions outlined in the Terms of Use and Privacy Policy and agree to them before becoming an official user with us.
General Provisions
If you use the services on behalf of an entity, company, or organization, you agree to these terms on behalf of that entity, company, or organization and represent that you have the authority to bind them to these terms. You agree to use the services in accordance with these terms. You may only use the services if you have the authority to enter into a contract with MIC and are not prohibited from doing so under any applicable laws. These Terms of Use are governed by and applied in accordance with the laws of the Kingdom of Saudi Arabia. Both parties agree to the jurisdiction of Saudi Arabian courts for any disputes or claims arising from these terms. The account holder acknowledges and agrees that MIC may amend these Terms of Use at any time by posting the revised terms on the website at: https://www.mic-ksa.com/home/UsagePolicy. Amendments to the Terms of Use will be effective as of the date of posting. Your continued use of the services after the amendments are posted constitutes acceptance of the revised terms. If you do not agree to any changes, you must stop using the services.
Usage License Terms
MIC grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable license to access and use our services solely for personal purposes as specified in these terms ("Terms of Use").
License Agreement
Your license to use the services and account is subject to these terms and the License Agreement that you must agree to when subscribing to one of MIC's systems ("License Agreement"). This license will automatically terminate if you violate these terms in a way that harms our intellectual property or any other rights. All rights not explicitly granted under these terms or the License Agreement are reserved. As reiterated in the License Agreement, you must not reverse-engineer, decompile, or attempt to do so, nor assist anyone else in doing so.
Subscription Activation ("License")
By agreeing to the License Agreement, you acknowledge that access to the data stored in the MIC system and to the system itself is contingent upon your subscription being active (i.e., fully paid). Failure to pay the required amounts will result in the suspension of your access to the service and stored data. The subscription becomes active after payment, and the activation status ("Active") will appear in the Control Panel > My Subscriptions. A confirmation email will also be sent to you.
Your Files and Privacy
By using our services, you may provide us with information and files submitted through the services (collectively referred to as "Your Files"). You retain full ownership of Your Files. These terms do not grant us any rights to Your Files or intellectual property except for the limited rights necessary to operate the services as described below. Permissions may be required to perform actions you request with Your Files, such as hosting or sharing them with specific individuals within your organization based on your instructions. This includes operational decisions like storing and backing up your data to ensure its integrity. You grant us the permissions necessary to provide the services. This permission also extends to trusted third parties we work with to deliver the services. We will only share your content under rare exceptions detailed in our Privacy Policy, regardless of changes in services. How we generally collect and use your information is also outlined in our Privacy Policy. You are solely responsible for your conduct, the content of Your Files, and your interactions with others while using the services. MIC is not obligated to monitor any information on the services and is not responsible for the accuracy, completeness, appropriateness, or legality of files, user posts, or other content you may access using the services. We are not responsible for ensuring compliance with the applicable laws of the Kingdom of Saudi Arabia.
Your Responsibility
You, not MIC, are solely responsible for what you copy, share, upload, download, and any other actions you take while using the services. You must not upload spyware or any other malicious software to the services. If your contact information or other account-related information changes, you must notify us immediately and keep your information up to date. You are responsible for safeguarding the password you use to access the services and agree not to disclose your password to any third party. You must immediately notify MIC of any unauthorized use of your account. You acknowledge that if you wish to transfer data or files to MIC, using an encrypted secure connection for communication with the services is your responsibility. The services are not intended for use by individuals under the age of 18. By agreeing to these terms, you confirm to us that you are over 18 years old.
Trial Period
During the trial period, the user can access all the features of the selected service except SMS and WhatsApp messaging. The trial period lasts for 14 days. If the period expires without a subscription, the service will be disabled, and all data will be deleted unless a subscription is activated before the end of the trial period. MIC reserves the right to cancel the free trial period, suspend your subscription, or limit trial benefits if it determines the user is ineligible, at any time without prior notice or liability.
MIC Rights
These terms do not grant you any right, ownership, or interest in the services or their content. We may use any feedback, comments, or suggestions you provide without obligation to you. The software and other technologies used to deliver the services are protected by copyright, trademarks, and laws. These terms do not grant you any rights to use the "MIC" trademarks, logos, domain names, or other brand features. All intellectual property rights of these services and all related materials belong to MIC. You must not reproduce or permit anyone else to use or reproduce the services, trademarks, or trade names displayed in the services for any reason. MIC reserves the right to remove content or accounts that it deems illegal, offensive, threatening, or promoting pornography, spam, or any violation of intellectual property or terms of use.
Limitation of Liability
MIC provides the services "as is" and "as available." MIC disclaims all warranties to the fullest extent permitted by law. MIC makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, being free from harmful components, secure, or suitable for a particular purpose. MIC will not be liable for any direct, indirect, punitive, special, incidental, or consequential damages, including, but not limited to, loss of profits, business interruptions, or data loss, arising from accessing or using the services.
Intellectual Property and Client Content
MIC does not claim intellectual property rights over content you upload to its services. All content you upload remains yours, provided you comply with MIC’s terms and policies. MIC will not disclose user confidential information to third parties unless required for service delivery and with the user's prior knowledge and consent. Confidential information includes materials or information provided by the user to MIC. MIC reserves the right to license the use of names, trademarks, service marks, and logos associated with the user's account to promote the service.
Fees and Payment
- MIC may adjust or update prices from time to time. It is your responsibility to stay informed of the pricing of services provided on the pricing page, accessible through the service.
- You are solely responsible for paying all fees on time and acknowledge that any paid amount is non-refundable.
- Payment for services must be made in advance to MIC via card or bank transfer.
- If the payment is not successfully settled due to a payment issue or otherwise, the subscription will not be activated or renewed.
- If subscription dues are unpaid, MIC will grant a grace period of up to 30 days before suspending access to the service and stored data. This grace period will be billed, and the user must pay it as part of their dues.
Cancellation and Termination
- Users may cancel their accounts at any time by contacting the support team or via email at help@mic-ksa.sa and following the specified instructions mentioned in the email from MIC.
- Users are not entitled to a refund of any fees unless otherwise stated in the terms of use.
- Any outstanding balance owed to MIC due to your use of the services through the termination date will become immediately payable in full, and the user’s service will be suspended immediately.
- MIC reserves the full right to modify or terminate the services for the user or their account for any reason at any time without notice.
- MIC may suspend or terminate your account if it suspects involvement in fraudulent activities related to its services and may take any other legal action as necessary.
Service and Pricing Modifications
- Service usage prices are subject to change, with users being notified before the changes are announced. This notice may be provided at any time by publishing the changes on the MIC website (mic-ksa.com) and via the email registered in the account.
- MIC reserves the right to modify or discontinue the service (or any part of it) at any time and from time to time, with or without notice.
- MIC is not liable to users or any third party for any modifications, price changes, or service adjustments.
- We reserve the right to review these terms from time to time. The latest version of these terms will be dated and published on our website. Any changes will take effect upon posting the revised terms on the website (or any later effective date as indicated in the revised terms).
